a. To safeguard and promote the interests of the owners of real property in the district surrounding Lake Bernard,
b. To consider and promote all matters relating to the welfare of the community in the district surrounding Lake Bernard, and
c. To plan, recommend and promote the adoption of such measures as will tend to beautify and improve the community.

Constitution & By Laws
Lake Bernard Property Owners’ Association
By-Law No. 1
Dated at Sundridge this 31st Day of August, 2012
Being a By-Law relating generally to the transaction of the business and affairs of the association.
Be it enacted and it is hereby enacted as a by-law of Lake Bernard Property Owners’ Association
b) From among their number the Directors shall elect a President, who shall be Chair of the Board, a Vice-President, a Treasurer and a Secretary, and a Chair for each committee designated by the association.
c) The Board has all the powers of the association in the intervals between meetings of the association.
d) The Directors shall be elected at the annual meeting and if more than nine candidates are nominated for office, the vote shall be by a show of hands. In case of a tie, the Chair of the meeting shall determine the decision by lot. * See lot process below.
e) Each successful candidate assumes office on the day following the election and shall hold office for three years.
f) The board may fill vacancies occurring during the year as the result of resignation or death.
g) Point of Order;
b) The secretary shall either email or mail to the home address of each member a notice of the meeting and a copy of the financial report at least fourteen days prior to the meeting or in lieu thereof shall notify the member at his or her summer residence.
c) The Board or fifteen members of the association may request the secretary to call a meeting of the members of the association by sending a notice to the home address or to the summer residence of each member fourteen days prior to the meeting stating the purpose of the meeting.
d) Any member may nominate an individual at least 14 days before the annual meeting providing that the nomination is signed by that member and at least two other members in good standing. Nominations should include a brief bio of the individual with an historical reference to tenure on Lake Bernard. Notice of such shall be included with the notice of the upcoming AGM.
e) Nominations will also be accepted from the floor at the meeting providing that the nominee’s bio and historical information is also provided at that time.
f) Point of Order;
b) The membership fee shall remain the same from year to year unless it is changed at the annual meeting or at a special meeting of the association.
c) No person shall be entered on the roll of the association until his or her membership is paid.
d) The fiscal year shall end on the 31st day of May.
12. Confirming the By-laws of the Association
The by-laws of the association may be amended by an affirmative vote of two-thirds of the members in attendance at any meeting of the association provided that no vote will be taken on the proposal to amend the by-laws unless notice thereof was given in advance.

- Five members of the board constitute a quorum for a meeting of the Board.
- The Chair may vote only in the case of a tie.
- The Board shall hold at least two meetings a year.
- Duties of the Board
- Provide for the maintenance of any property of the association.
- In its discretion employ an assistant secretary and an assistant treasurer or an assistant secretary-treasurer, who need not be a member of the board.
- Fix the times and places for the meetings of the Board and the mode of calling and conducting them, and ensure that a full and correct account of the proceedings thereat is kept.
- Take proper security from the treasurer, the assistant treasurer or the assistant secretary-treasurer. A police records check is not required for the Association.
- Submit each year a budget for approval by the association at its annual meeting or at a meeting called for that purpose and authorize expenditures on behalf of the association from time to time.
- Carry out any activities approved by the association within the limits set by the revenue for the year.
- Determine the duties of each committee.
- Appoint the members to serve with the Chair of each committee.
